Parties
This Public Benefit Program Agreement ("Agreement") is entered into between:
Provider: Placeholder LLC dba Valkyrie Media Advertising & AI Automation ("NeverApply," "we," "us"), a Nevada limited liability company operating NeverApply.AI, located at 1836 W Carey Ave, North Las Vegas, NV 89032.
Sponsoring Agency: The state agency, city department, or workforce development office identified in the Order Form and signature block of this Agreement ("Agency," "you"). This includes departments of labor, workforce development agencies, departments of economic security, and equivalent city or state bodies with authority over employment and public assistance programs.
The signatory represents and warrants that they have authority to commit their Agency to the payment terms described herein, or that any required budget approval process will be completed before the Agency's payment obligation begins.
What this program is
NeverApply.AI is a Gmail-integrated AI platform that works on behalf of job seekers. The platform monitors a person's inbox for recruiter emails, generates tailored resume documents on demand, and sends automated, professionally written responses on their behalf. The system runs entirely within each resident's own Google account. No resident data passes through servers operated by NeverApply.
Under this Agreement, the Agency sponsors NeverApply.AI access for residents who are currently active recipients of SNAP, EBT, or an equivalent public assistance program the Agency designates as eligible. The Agency is billed $5.00 per month per enrolled resident for as long as that resident remains enrolled and verified.
This is acceleration, not training. NeverApply.AI does not replace job training programs, career counseling, or existing workforce services. It automates the time-consuming mechanics of a job search, recruiter correspondence and resume customization, so residents spend less time on logistics and more time interviewing.
Resident verification and enrollment
Eligibility is self-verified by the resident, not pre-enrolled in batches by the Agency. This mirrors how residents already check their SNAP or EBT balance directly through their state's benefits app or portal.
1. The resident visits the NeverApply Public Benefit Portal at benefit.neverapply.ai.
2. The resident confirms active SNAP or EBT enrollment using the same verification method already used for their state's benefits system (typically a case number, EBT card number, or state benefits login, depending on what the Agency's existing system supports).
3. Verification status is confirmed through the Agency's existing eligibility system or a designated state API, NeverApply does not independently determine SNAP or EBT eligibility.
4. Once verified, the resident's NeverApply.AI account activates immediately and the Agency is billed $5.00 for that resident for the current billing month.
5. Verification refreshes monthly. If a resident's SNAP or EBT status lapses, their NeverApply.AI access and the associated $5.00 charge stop at the start of the next billing cycle.
NeverApply does not store or retain SNAP or EBT case numbers, benefit amounts, or eligibility documentation beyond what is required to confirm a pass or fail verification result for billing purposes. Verification detail remains within the Agency's existing eligibility system.
Fees and billing
The Agency is billed monthly at the following rate:

Unlike the Campus License, there is no volume discount tier. The $5 per month rate is fixed regardless of enrollment size, since this program is designed to be evaluated against existing public assistance spending rather than negotiated as a bulk commercial rate.
Billing is monthly in arrears, based on the verified resident count at the close of each billing period. The Agency only pays for residents who actively verified and used the platform during that month, not for total program capacity.
Payment is due within 30 days of invoice. Purchase orders are accepted. Wire transfer and ACH are available.
Pilot terms: Agencies may sponsor a 90-day pilot for up to 100 residents at no cost. NeverApply will provide a placement-rate report at 30 and 90 days. Pilot access converts to standard $5/resident/month billing upon renewal, with 30 days advance notice before any pilot term expires.
Program term and renewal
The initial Program Term begins on the Effective Date identified in the Order Form. Unless otherwise specified, the Agreement runs on a rolling monthly basis with no fixed end date, billed monthly based on actual verified enrollment.
Either party may terminate the program with 30 days written notice. There is no minimum commitment period and no penalty for ending the program early.
Agency obligations
The Agency agrees to:
- Provide NeverApply with the eligibility verification method or API access needed to confirm active SNAP or EBT status for residents attempting to enroll
- Designate a primary contact responsible for managing the program and reviewing monthly billing
- Promote awareness of the program to eligible residents through existing communication channels, at the Agency's discretion
- Cooperate with NeverApply on brief outcome reporting at 30 and 90 days to support placement-rate tracking
- Comply with applicable state and federal privacy law in connection with any resident data the Agency manages in relation to this program
The Agency is not required to endorse, recommend, or actively market the program to residents. Awareness and promotion are at the Agency's discretion.
NeverApply obligations
NeverApply agrees to:
- Make the Public Benefit Portal available within 5 business days of executed Agreement
- Maintain platform availability with a target uptime of 99% during the Program Term
- Provide the Agency's designated contact with monthly enrollment counts, verification pass/fail rates, and aggregate placement data, no individual resident job search activity is shared
- Bill only for residents who successfully verified and were active during the billing period
- Respond to Agency support requests within 1 business day
- Never sell, share, or use resident data for advertising or any purpose outside of delivering the service
Data and privacy
NeverApply is architected so that no resident's email content, resume content, or recruiter communications pass through or are stored on servers operated by NeverApply. All resident job search data remains in the resident's own Google account at all times.
The only resident-identifiable information NeverApply receives is whatever minimum data point is required to confirm active SNAP or EBT status through the Agency's verification method, and the resulting pass or fail result used for billing. NeverApply does not receive, store, or retain SNAP or EBT case files, benefit amounts, or eligibility documentation.
NeverApply's full privacy practices are described at neverapply.ai/privacy.html and are incorporated by reference into this Agreement.
Limitation of liability
NeverApply is provided "as is." We make no warranties, express or implied, regarding the platform's fitness for any particular purpose, including guarantees of employment outcomes, interview rates, or offer rates for any resident using the platform.
NeverApply's total liability to the Agency under this Agreement is limited to the total fees paid by the Agency in the 90 days preceding the claim.
NeverApply is not liable for Google API outages, Gmail policy changes, the accuracy of eligibility data provided by the Agency's verification system, or any outcome resulting from a resident's use or misuse of the platform.
Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party and its officers, employees, and agents from claims, losses, and liabilities arising from its own breach of this Agreement, its own negligence, or its own violation of applicable law.
The Agency specifically agrees to indemnify NeverApply against any claim arising from the accuracy or misuse of the Agency's own eligibility verification system or data.
NeverApply specifically agrees to indemnify the Agency against any claim arising from NeverApply's breach of its data protection obligations under Section 08 of this Agreement.
Termination
Either party may terminate this Agreement with 30 days written notice. Upon termination, the Public Benefit Portal stops accepting new resident enrollments. Residents already enrolled and verified retain access through the end of the final paid billing period.
NeverApply may suspend or terminate access immediately if the Agency's account becomes more than 30 days past due, following written notice and a 10 business day cure period.
Governing law and disputes
This Agreement is governed by the laws of the State of Nevada, United States, without regard to conflict of law principles. Any dispute arising from this Agreement shall first be submitted to good-faith negotiation between the parties' designated contacts. If unresolved within 30 days, it shall be submitted to binding arbitration in Clark County, Nevada under the rules of the American Arbitration Association.
Miscellaneous
Entire agreement. This Agreement, together with the Order Form, constitutes the entire agreement between the parties regarding its subject matter.
Amendments. No amendment is effective unless in writing and signed by authorized representatives of both parties.
Severability. If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force.
Notices. All notices under this Agreement must be in writing, delivered by email with confirmation of receipt, or by certified mail to the addresses identified in this Agreement.
Independent contractors. The parties are independent contractors. This Agreement does not create a partnership, joint venture, or employment relationship between the parties.
Signatures
By signing below, each party confirms they have read, understood, and agreed to this Public Benefit Program Agreement and have authority to bind their respective organization.
